Terms of Service

1. Introduction

These Terms of Service (the “Terms”) form a legally binding agreement between you (“you”, “your”, or “user”) and Plaitr (“Plaitr”, “we”, “us”, or “our”) regarding your access to and use of: (a) the Plaitr website at plaitr.com; (b) any other websites we operate that link to these Terms; (c) the Plaitr product surfaces including demo.plaitr.com and any dashboards, APIs, and mobile applications we release; and (d) any related media, channels, or online services we provide (collectively, the “Platform”).

The Platform provides access to certain products, features, and programs, whether offered directly by Plaitr or in partnership with licensed partner institutions (collectively, the “Plaitr Offerings”). Plaitr Offerings currently include multi-currency business accounts, payment initiation, stablecoin payment rails, developer APIs, and automated reconciliation. Custom-branded corporate cards are planned. Additional Plaitr Offerings may be introduced or retired over time.

By accessing or using the Platform or any Plaitr Offering, you confirm you have read and understood these Terms and agree to be bound by them, our Prohibited Use Policy, our Privacy Policy, and any product-specific agreements incorporated by reference. Where these Terms and a product-specific agreement conflict, the stricter or more specific term applies. If you do not agree, do not access or use the Platform.

Plaitr is a financial technology provider for businesses. We are not a bank, money services business, or card issuer. We do not hold, store, or take custody of your funds, digital assets, or private keys. Our role is limited to the software layer that lets businesses run accounts, payments, and accounting in one place. Regulated banking, custody, and card issuance are provided by licensed partner institutions.

If you accept these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. In that case “you” refers to the entity. If you lack that authority, do not accept.

2. Definitions

Account means a Plaitr account created for a business entity to access Plaitr Offerings.

Card or Plaitr Card means any payment card branded with Plaitr that is made available through the Platform when Card Programs launch.

Card Program means the card program under which the Issuer issues the Card.

Cardholder Agreement means the agreement between you and the Card Issuer that governs the Card, updated by the Issuer from time to time.

Developer Tools means Plaitr APIs, SDKs, webhooks, and related developer materials made available through the Platform.

Issuer means the regulated financial institution that issues the Card under a Card Program.

Partner Institutions means the third-party financial institutions and service providers Plaitr partners with to deliver Plaitr Offerings, including card issuers, program managers, payment processors, settlement agents, and banks.

Third-Party Services means third-party websites, applications, products, services, APIs, software, or other resources that the Platform links to or integrates with.

User Content means any data, information, content, or materials you submit, upload, or transmit through the Platform or any Plaitr Offering, including via the Developer Tools, but excluding anything provided by Plaitr or its Partner Institutions.

3. About the platform and Plaitr offerings

Plaitr provides a unified, non-custodial platform that lets businesses hold multi-currency balances, send and receive payments across 90+ countries, move stablecoins alongside fiat, and automate reconciliation. The following describes the Plaitr Offerings at a high level; product-specific agreements govern the details.

Multi-currency accounts. Plaitr enables you to hold balances in 40+ currencies through Partner Institutions and to move funds on local rails, including ACH and Wire in the US, SEPA and SWIFT in Europe, FAST in Singapore, and IMPS in India.

Payments and payouts. Plaitr lets you send and receive fiat and stablecoin payments to counterparties, monitor status in the dashboard, and leverage partner-operated rails where eligible.

Stablecoin rails. Plaitr enables movement of supported stablecoins (for example, USDC, USDT) on supported networks alongside fiat. Plaitr does not custody the assets.

Auto reconciliation. Plaitr categorizes, matches, and posts transactions to your books as they settle. Exports run to common accounting systems, including Xero, QuickBooks, NetSuite, and CSV.

Card program (planned). Plaitr expects to facilitate access to a corporate card program under which a regulated Issuer issues virtual and physical cards. Plaitr will provide the platform and interfaces used to apply for, access, and manage Cards, but Plaitr will not extend credit, set Card terms, or hold collateral. Card use will be governed by the applicable Cardholder Agreement.

Developer tools. When available, Plaitr provides REST APIs, SDKs, and webhooks for automating payments, payouts, and reconciliation. Authentication, idempotency, retries, and event verification must follow the documentation. Plaitr may enforce rate limits and change or deprecate endpoints with reasonable notice.

Service availability and eligibility. Not every Plaitr Offering is available in every country. Access depends on successful onboarding, KYB, sanctions screening, and ongoing compliance. Plaitr may add, modify, suspend, or discontinue features to address legal, risk, or operational needs, or based on Partner Institution requirements.

Partner dependencies. Fiat funding, virtual accounts, settlement, on-ramps and off-ramps, card issuance, network connectivity, identity verification, sanctions screening, and fraud prevention are provided by third-party financial institutions or vendors. Plaitr facilitates these services but does not control their systems or obligations. Your access may require acceptance of partner-mandated terms incorporated by reference.

4. Supplemental terms and changes

From time to time, Plaitr may post supplemental terms, conditions, or policies applicable to specific Plaitr Offerings, features, or promotions. Those supplemental terms are incorporated by reference, and your use of the applicable Plaitr Offering constitutes acceptance.

We may amend these Terms at any time by posting an updated version on the Platform and changing the “Last updated” date. Changes take effect on posting unless a later date is specified. Continued use after the effective date is your acceptance of the revised Terms.

The Platform is not intended for distribution to or use by any person in any jurisdiction where such distribution or use would be contrary to law, regulation, or sanctions, or would subject Plaitr to any registration or licensing requirement in that jurisdiction. Accessing the Platform from such jurisdictions is prohibited.

5. Eligibility

You must be at least eighteen (18) years old and have the legal capacity to enter into a binding contract. If you use Plaitr Offerings on behalf of a legal entity, you represent you are authorized to bind that entity.

You may not use Plaitr Offerings if you are: (a) located in, a resident of, or otherwise transacting with any jurisdiction subject to comprehensive sanctions or embargoes; (b) a person or entity listed on any U.S., U.K., E.U., or U.N. sanctions or restricted party list; or (c) otherwise prohibited from using Plaitr Offerings under applicable law.

6. Account registration and security

To access certain Plaitr Offerings you may be required to create an Account. You agree to provide complete, accurate, and current information during registration and to keep it current.

You must protect the confidentiality of your credentials, including any API keys, access tokens, and passwords. You are responsible for all activity under your Account, whether or not authorized by you. Notify us immediately at support@plaitr.com if you suspect unauthorized access.

As part of registration or ongoing use, you authorize Plaitr to conduct identity verification (KYC), business verification (KYB), sanctions screening, and other compliance checks, directly or through third-party providers. Failure to provide requested information may result in suspension or termination of your Account. Information you provide is processed under our Privacy Policy.

7. Acceptable use and compliance

You may not use the Platform or any Plaitr Offering in a way that violates these Terms, our Prohibited Use Policy, or applicable laws, regulations, sanctions programs, or payment network or Partner Institution rules. The Prohibited Use Policy is incorporated by reference.

You must comply with all applicable export control, sanctions, anti-money laundering, anti-terrorist financing, and anti-corruption laws. You represent that you are not located in a sanctioned jurisdiction, listed on any sanctions or restricted party list, or engaged in prohibited activity.

Plaitr may monitor use of Plaitr Offerings to ensure compliance and may suspend or terminate access for actual or suspected violations.

8. User representations and warranties

By accessing the Platform or applying for or using any Plaitr Offering, you represent and warrant to Plaitr, as of first access and continuously thereafter, that:

  • Authority. You have full legal right, power, and authority to enter into and comply with these Terms.
  • Eligibility. You satisfy all eligibility criteria in Section 5.
  • Legal compliance. You will comply with all applicable laws in your use of the Plaitr Offerings.
  • Accuracy of information. All information you provide is and will remain true, complete, and accurate.
  • Purpose of use. You will use Plaitr Offerings only for bona fide business transactions and lawful purposes.
  • Operational security. You will maintain commercially reasonable security measures to protect your systems, credentials, and devices.
  • Card program. If and when you use a Plaitr Card, you understand Plaitr is not the Issuer, does not extend credit, and that Card use is governed by the Cardholder Agreement.
  • API and developer. You will use APIs only per documentation, will not exceed rate limits or circumvent security controls, and are responsible for all calls made with your credentials.
  • Non-custodial acknowledgment. Plaitr does not hold or take custody of your funds, digital assets, or private keys. Custodial and settlement services are provided solely by regulated Partner Institutions.
  • Lawful ownership of digital assets. Any digital assets you move through Plaitr Offerings are lawfully owned by you and are not derived from illegal activity.
  • Blockchain finality. Blockchain transactions are typically irreversible and Plaitr cannot reverse them once broadcast.
  • Network fees and timing. You understand blockchain transactions may require network fees and Plaitr is not responsible for network congestion or fee fluctuation.
  • No investment advice. Plaitr does not provide investment, tax, or legal advice. Displayed prices or FX rates are informational and may differ from prevailing rates.
  • Tax responsibility. You are solely responsible for your tax obligations and reporting.

9. Intellectual property

Ownership. Plaitr and its licensors own all right, title, and interest in and to the Platform and Plaitr Offerings, including software, APIs, SDKs, webhooks, data structures, interfaces, graphics, text, documentation, designs, trademarks, service marks, and logos (“Plaitr IP”). Except for the limited licenses expressly granted, Plaitr does not grant you any rights in the Plaitr IP.

License to use. Subject to your compliance with these Terms, Plaitr grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Plaitr Offerings for their intended purpose, and if applicable, to integrate with our APIs per documentation.

Restrictions. You will not: (a) copy, modify, translate, or create derivative works of the Plaitr IP; (b) reverse engineer or attempt to derive source code, except where restriction is prohibited by law; (c) remove or alter proprietary notices; (d) use Plaitr IP to develop a competing product; or (e) use any Plaitr mark without prior written consent.

Third-party components. Certain Plaitr Offerings may incorporate third-party software subject to separate licenses. Your use is subject to those licenses.

User Content. You retain ownership of User Content. You grant Plaitr a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display User Content in connection with operating and providing the Platform.

Contributions. If you send us ideas, feedback, or suggestions, you grant Plaitr a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully transferable and sublicensable license to use them for any purpose without compensation.

DMCA and copyright complaints. To report content on the Platform you believe infringes your copyright, email support@plaitr.com with your contact information, a description of the work, the URL of the allegedly infringing material, a good-faith statement of unauthorized use, and a statement under penalty of perjury that the information is accurate.

10. Third-party links and integrations

The Platform may contain links to, or allow you to connect and integrate with, Third-Party Services. Third-Party Services are not under Plaitr’s control. Plaitr does not endorse or assume responsibility for any Third-Party Service, its content, terms, or practices.

If you access or use a Third-Party Service you do so at your own risk, and your relationship with that third party is governed by their terms and privacy policies. You are responsible for reviewing and complying with those terms.

11. Product-specific terms

Multi-currency accounts and payments. Balances held with Partner Institutions are held under the terms of that institution and its home regulator. Availability of deposit protection schemes varies by partner and by jurisdiction. Applicable fees and FX rates are disclosed before each transaction is submitted. Displayed FX rates are indicative mid-market rates sourced from public reference feeds and refreshed in real time.

Stablecoin rails. Movement of stablecoins on public networks is subject to blockchain finality and network fees. You authorize Plaitr to share transaction data with Partner Institutions and compliance vendors as necessary to screen and settle transactions.

Card program (when live). If you apply for, are approved for, or use a Plaitr Card, your use of the Card is subject to these Terms, the applicable Cardholder Agreement, the Prohibited Use Policy, and any Issuer terms. Plaitr facilitates access to the Card Program but is not the Card Issuer and does not extend credit. Plaitr may suspend or terminate Card access if you breach these Terms, the Cardholder Agreement, or the Prohibited Use Policy, or if required by the Issuer or payment networks.

Virtual accounts and off-ramps. If you are provided access to a virtual bank account or an off-ramp through Plaitr, those services are provided by our Partner Institutions and subject to their terms in addition to these Terms. Plaitr does not itself provide or hold bank accounts.

Developer and API access. If you are granted access to Developer Tools, you may use them only per documentation and any applicable API license agreement. You may not share credentials, circumvent rate limits, or use Developer Tools for any purpose prohibited by the Prohibited Use Policy. Plaitr may modify or discontinue Developer Tools and may revoke credentials for breach.

Plaitr will process personal information in API requests, responses, or webhook payloads only as described in the Privacy Policy and only as necessary to provide the Plaitr Offerings.

12. Fees, taxes, and billing

You agree to pay all transaction fees and applicable taxes associated with your use of Plaitr Offerings, as disclosed to you at the time of the transaction, in the dashboard, or in product-specific agreements. Unless otherwise stated, fees are denominated in U.S. dollars.

You are responsible for all taxes, duties, and similar assessments arising from your use of the Plaitr Offerings, other than taxes on Plaitr’s net income. Where required by law, Plaitr may collect and remit taxes on your behalf, and you agree to provide any information we reasonably request to comply.

Plaitr may update fees or introduce new pricing by providing reasonable notice, except where immediate changes are required by law or network or Partner Institution rules. Continued use after a change becomes effective is your acceptance.

13. Suspension, termination, and consequences

Plaitr may suspend or terminate your access to any or all Plaitr Offerings immediately if: (a) you breach these Terms, the Prohibited Use Policy, or any product-specific agreement; (b) you fail to satisfy ongoing eligibility, verification, or compliance requirements; (c) we reasonably believe your continued use poses a security, legal, or reputational risk; or (d) required by law, regulation, or Partner Institution instruction.

You may terminate your Account at any time by following the instructions in the dashboard or contacting support@plaitr.com. Termination does not affect obligations that have accrued prior to the effective date, including payment obligations and indemnities.

On termination you must cease all use of the Plaitr Offerings and return or destroy any Plaitr materials in your possession. Provisions that by their nature should survive will survive, including ownership provisions, warranty disclaimers, limitations of liability, arbitration, and indemnities.

14. Limitation of liability

To the fullest extent permitted by law, Plaitr and its affiliates, officers, directors, employees, agents, partners, or licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, arising out of or relating to your use of or inability to use the Plaitr Offerings, whether based on warranty, contract, tort, statute, or any other theory, even if we have been advised of the possibility.

Plaitr’s total liability to you for all claims arising out of or relating to the Plaitr Offerings or these Terms will not exceed the greater of: (a) the amount you paid Plaitr in the twelve (12) months preceding the event giving rise to the claim; or (b) one hundred U.S. dollars (US$100). These limits do not apply to liability for gross negligence, willful misconduct, or fraud, or where applicable law prohibits limitation.

15. No warranties

To the maximum extent permitted by law, the Platform and all Plaitr Offerings are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise.

Plaitr expressly disclaims all implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, and non-infringement, and any warranties arising out of course of dealing or usage of trade.

Plaitr does not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses; that defects will be corrected; or that any data provided through the Platform is accurate, complete, or current. Product screenshots and figures shown on the site are illustrative and may not reflect current availability, pricing, or performance.

You acknowledge that blockchain transactions are inherently irreversible and that Plaitr does not guarantee transaction confirmation times.

16. No fiduciary duties

Plaitr is not your fiduciary, trustee, or investment adviser, and no fiduciary or special relationship exists between you and Plaitr. Your decisions in using the Platform are made independently and at your own risk.

17. Indemnification

You agree to indemnify, defend, and hold harmless Plaitr, its affiliates, and their respective officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (i) your access to or use of the Platform or any Plaitr Offering; (ii) your violation of these Terms, the Prohibited Use Policy, the Privacy Policy, or any applicable law; (iii) your violation of any third-party right, including intellectual property, publicity, confidentiality, or privacy right; (iv) any content, data, or information you submit, transmit, or make available through the Platform; (v) any dispute between you and a third party arising from your use of the Platform; or (vi) your negligence, fraud, or willful misconduct.

Plaitr reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with that defense. You may not settle any claim without our prior written consent.

18. Governing law, arbitration, and class waiver

Applicability. This section applies to any dispute, claim, or controversy between you and Plaitr arising out of or relating to the Plaitr Offerings, these Terms, or your relationship with Plaitr, except for disputes expressly subject to arbitration provisions in a separate product-specific agreement.

Agreement to arbitrate. Before initiating arbitration or any legal proceeding, you and Plaitr agree to first attempt to resolve the dispute informally by sending written notice to support@plaitr.com. The notice must include your name, contact information, a description of the dispute, and the relief sought. Plaitr will respond within thirty (30) days. If the dispute is not resolved within sixty (60) days after receipt of your notice, either party may commence arbitration.

You and Plaitr agree that any dispute that cannot be resolved informally will be resolved exclusively by binding arbitration on an individual basis. The arbitration will be administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The place of arbitration is Cheyenne, Wyoming, USA. The arbitration will be conducted in English before a single arbitrator. The arbitrator’s decision is final and binding, and judgment may be entered in any court of competent jurisdiction. The Federal Arbitration Act governs the interpretation and enforcement of this agreement.

Class action waiver. To the maximum extent permitted by law, you and Plaitr agree that any arbitration or proceeding is limited to the dispute between you and Plaitr individually. You waive any right to have disputes heard as a class, collective, or representative action.

Exceptions to arbitration. Nothing here prevents either party from seeking injunctive or equitable relief in court for matters relating to intellectual property rights, unauthorized use of the Plaitr Offerings, or breaches of confidentiality. Any such court proceedings will be brought in the state or federal courts located in Wyoming, and the parties consent to personal jurisdiction there.

Governing law. These Terms are governed by the laws of the State of Wyoming, USA, and applicable U.S. federal law, without regard to conflict-of-law rules.

19. Miscellaneous

Entire agreement. These Terms, together with the Privacy Policy, the Prohibited Use Policy, and any product-specific agreements incorporated by reference, constitute the entire agreement between you and Plaitr regarding your use of the Plaitr Offerings.

Waiver. Plaitr’s failure to enforce any provision will not constitute a waiver.

Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in effect, and the invalid provision will be replaced by a valid provision that reflects the original intent.

Assignment. You may not assign or transfer any rights or obligations under these Terms without Plaitr’s prior written consent. Plaitr may assign these Terms without your consent to an affiliate or in connection with a merger, acquisition, reorganization, or sale of substantially all its assets.

Relationship of the parties. Nothing here creates a partnership, joint venture, agency, or fiduciary relationship. You and Plaitr are independent parties.

Force majeure. Plaitr is not liable for failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, epidemic or pandemic, acts of government, labor disputes, Internet or telecommunications failures, power outages, or failures of third-party providers.

Notices. Plaitr may provide notices by email, by posting in your dashboard, or by other reasonable means. Notices to Plaitr must be sent to support@plaitr.com.

Changes to the platform. We may modify, suspend, or discontinue any part of the Platform or any Plaitr Offering at any time without notice or liability. Plaitr may perform maintenance or upgrades that result in temporary interruptions.

Electronic communications and signatures. By using the Platform you consent to receive electronic communications from Plaitr, including agreements, notices, and disclosures. Electronic communications satisfy any legal requirement that such communications be in writing. See our E-Sign and Electronic Communications Notice for details.

Language. These Terms may be translated into other languages for convenience. The English-language version controls in case of conflict.

Reporting security issues. If you believe you have discovered a vulnerability, report it promptly to support@plaitr.com.
